Business Partner Agreement

This Business Partner Agreement ("Agreement") governs the relationship between CoffeeCanz, a DivaddLimited Company ("CoffeeCanz"), and any business ("Partner," "Merchant," or "Vendor") that applies to list deals or products on the CoffeeCanz platform.

By completing the merchant onboarding process, paying for any subscription or voucher package, or listing a deal on our platform, you agree to be bound by this Agreement.

To participate as a CoffeeCanz business partner, you must:

• Be a legally registered business in the United States
• Hold all necessary licenses and permits for your industry
• Operate in good standing with applicable health, safety, and trade regulations
• Be authorized to offer the products or services listed on CoffeeCanz

As a CoffeeCanz business partner, you agree to:

• Honor all deals and vouchers claimed by CoffeeCanz members during the active offer period
• Provide accurate and complete deal descriptions, terms, and pricing
• Not offer counterfeit, unsafe, mislabeled, or prohibited products or services
• Maintain adequate inventory to fulfill claimed vouchers
• Update or withdraw deals promptly if inventory runs out or offers change
• Comply with all applicable federal, state, and local laws

All deals listed on CoffeeCanz must:

• Represent a genuine discount from your regular selling price
• Accurately describe the product or service being offered
• Include clear redemption instructions and expiration dates
• Comply with CoffeeCanz's quality guidelines and category standards
• Not contain false, misleading, or deceptive claims

When CoffeeCanz members present vouchers, you must:

• Accept valid, unexpired vouchers without imposing additional fees or charges
• Treat CoffeeCanz members with the same respect and service as any other customer
• Not discriminate against members based on their membership tier or deal type
• Not require members to make additional purchases as a condition of redemption (unless stated in the deal terms)

Partners are responsible for verifying voucher validity using the CoffeeCanz verification tools provided. CoffeeCanz offers a POS scanner and merchant dashboard to confirm deal validity and mark vouchers as redeemed. Failure to properly verify redemptions may result in fraudulent claims for which CoffeeCanz assumes no liability.

Merchant participation on CoffeeCanz is governed by your chosen subscription or voucher package. Fees are charged in advance and are non-refundable except as described in our Refund Policy. CoffeeCanz does not take a commission on individual deal redemptions unless expressly agreed in a separate commercial arrangement.

CoffeeCanz may display your business name, logo, images, and deal descriptions on the CoffeeCanz platform and in related marketing materials. By submitting content and imagery, you grant CoffeeCanz a non-exclusive, royalty-free license to use such materials for the purpose of promoting your deals.

You may display the "CoffeeCanz Partner" badge or designation in your marketing materials, subject to CoffeeCanz's brand guidelines. You may not misrepresent your partnership status or imply endorsement beyond what CoffeeCanz provides.

CoffeeCanz will provide partners with access to performance data including views, saves, claims, and redemptions through the merchant dashboard. This data is provided for informational purposes and should not be used as the sole basis for financial reporting.

Either party may terminate this Agreement with 30 days' written notice. CoffeeCanz may terminate immediately and without notice if a partner:

• Engages in fraud, misrepresentation, or deceptive practices
• Repeatedly fails to honor claimed vouchers
• Violates food safety, health, or consumer protection laws
• Harasses or mistreats CoffeeCanz members

Upon termination, all active deals will be deactivated and pending refunds may be issued to affected members at CoffeeCanz's discretion.

Partner agrees to indemnify, defend, and hold harmless CoffeeCanz, its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising from: (a) Partner's products or services; (b) Partner's violation of this Agreement; (c) injury, illness, or harm caused by Partner's offerings; or (d) Partner's violation of applicable laws.

CoffeeCanz shall not be liable for any indirect, incidental, or consequential damages arising from the partner relationship, including loss of revenue resulting from platform changes, technical issues, or changes in deal visibility.
